ABSTRACT

This article analyzes the history of research and development, from the time of foundation of Rhone-Poulenc, to 1930s, before and after the merger, and their counterstrategies facing the German chemical Cartel I.G. Farben during the Second World war. Rhone-Poulenc always proposed the usage fee system in a friendly way for antitakeover measure rather than directly standing up to threatening I.G. Farben which had intention to control the pharmaceutical activities of Rhone-Poulenc and Specia, through the participatory investment by which totally enabled her to target this Group. In other words, Rhone-Poulenc managed to safeguard her control of a company, and to maintain her french firm’s purity, through refusing to receive the german management directors.
